CONSTITUTION AND BYLAWS OF THE
“PINE RIVER SPORTSMANS CLUB”
AMENDED JANUARY 2025
ARTICLE 1 – NAME
The name of this organization shall be “PINE RIVER SPORTSMANS CLUB”
ARTICLE 2 – PURPOSE
SECTION 1 – The purpose of this organization shall be; to collectively conserve and urge wise use of our natural resources and to promote good and safe sportsmanship.
SECTION 2 – To promote, establish facilities for, develop and maintain activities for the mutual pleasure and benefit, recreation, entertainment and good fellowship of its’ members.
SECTION 3 – To instruct, aid and by all proper means and actions serve its members in promoting and maintaining educational programs pertaining to conservation, hunting, fishing and out-of-doors life in general.
SECTION 4 – To promote safe handling and proper care of firearms.
ARTICLE 3 – MEMBERSHIP
SECTION 1 –Any citizen of the United States 12 years of age or over may become a member of this organization on application subject to approval of the membership.
SECTION 2 – The annual dues of each member of the Club shall be set at the October board meeting. Refer to website for updates and prorated dues. Persons joining after November 30th in each year and paying one year’s dues shall be deemed to have paid for the current and following fiscal year.
SECTION 3 – By nomination of the Board of Directors, and by a majority vote of active members present, any suitable person may be elected to Honorary Membership in the Club. No fees or dues shall be required of such honorary members.
SECTION 4 – Any member three months in arrears in dues shall be suspended and be re-admitted as a new member subject to approval of the Board of Directors.
ARTICLE 4 – OFFICERS
SECTION 1 – The Executive Committee of this organization shall be the President, Vice President, Treasurer, Secretary and Range Chair Persons. The Executive Committee shall be elected by a vote of the majority of members present at the January membership meeting and shall hold office for one year, or until their successors are elected and qualify.
SECTION 2 – The Board of Directors of the Club shall consist of the Executive Committee listed in Article 4, Section 1 and at least eight other elected members.
SECTION 3 – In the event of a vacancy in the office of President, either by death, resignation, or removal, or for any other cause, the Vice President shall assume charge of the exercise and duties of that office until the next January membership meeting. All other vacancies on the Executive Committee shall be filled by a vote of a majority of the remaining members and said appointees to hold office until the next January membership meeting at which time a successor or successors shall be elected in the usual manner.
ARTICLE 5 – MEETINGS
SECTION 1 – The election of the board of directors shall take place at the January membership meeting.
SECTION 2 – The board meeting of the Club shall be held on the second Wednesday of each month or at such other time as shall be designated by the Board of Directors and due notice given to the membership. The second Wednesday of each month will be the membership meeting; following the Board meeting.
SECTION 3 – Nominations. The nominations of officers shall be made at the December membership meeting one month previous to the January membership meeting.
ARTICLE 6 – COMMITTEES
SECTION 1 – Within 30 days after taking office, the President shall appoint the following standing committees; Legislative, Entertainment, Publicity, Program, Educational, Membership, Fish and Game, and in addition shall name such committees as interests and activities of the Club may warrant.
ARTICLE 7 – OBLIGATIONS
SECTION 1 – No elected officer or other representative of the Club shall have the right to obligate the Club in any manner without approval of the Board of Directors.
ARTICLE 8 – QUORUM
SECTION 1 – Six club members plus President or Vice-President, Treasurer or Alternate, Secretary or Alternate shall constitute a quorum at a membership meeting.
SECTION 2 – Four board of directors plus President or Vice-President, Treasurer or Alternate, Secretary or Alternate shall constitute a quorum at a board meeting.
ARTICLE 9 – PROPERTY
SECTION 1 – The Club may purchase, build, own, or rent suitable real and personal property to further its purposes, including offices, club houses, sanctuaries, archery, skeet, rifle and trap ranges, property for other activities pertaining to the outdoors or entertainment of its membership. All funds, assets, and property of the Club shall be used to further the objects and activities of the Club and for no other purpose.
ARCTICLE 10 – RULES
SECTION 1 – All meetings of the Club shall be conducted in accordance with Roberts Revised Rules of Order.
ARTICLE 11 – SUSPENSION
SECTION 1 – The conviction of any member of the Club of a violation of the game, fish, or conservation laws; or a disorderly member, or under the influence of intoxicants or drugs, at club meetings or participation at a sporting event shall have the effect of immediately suspending such member from membership in this Club. The Board of Directors shall have the power to reinstate a member so suspended.
ARTICLE 12 – MATCH RULES
SECTION 1 – All rifle and revolver or pistol competitions held by the Club will be governed by the rules and regulations laid down by the National Rifle Association of America, approved by the National Board for Promotion of Rifle Practice and the Secretary of the Army.
SECTION 2 – All archery competitions held by the Club will use the National Archery Association rules and regulations as a guide for their events.
SECTION 3 – All trap competitions held by the Club will use the Amateur Trap Association rules and regulations as a guide for their events.
ARTICLE 13 – AMENDEMENTS
SECTION 1 – Amendments hereto may be made at the January membership meeting or at a meeting called for the purpose by a two-thirds vote of all members present, provided further that notice of the proposed amendment shall be given to all members by the Secretary.
AMENDMENT 1
All dues will go to operating, building and maintaining of said building and grounds.
AMENDMENT 2
No beer, or any alcoholic beverages at any time, will be allowed on the club grounds or in the club building, with the only exception being District #8 Shoot.
AMENDEMENT 3
The Jr. Club will be merged with Sr. Club, to be known as the Jr. Division; ages 12 through 17 with the same dues carried.
AMENDMENT 4
Any club member in the Armed Forces of the United States of America, to include the United States Coast Guard, will be carried by the Club during their deployment away from home until their return from deployment. At that time, the member will begin paying dues at the first of the coming year.
AMENDMENT 5
Only active members with a one full year membership shall be appointed to the Board of Directors. All Board of Directors must attend at least four Board meetings a year and work one event to remain on the Board of Directors.
